Terms of Service

1. Acceptance of Terms

By accessing or using the Make It Happen Leadership platform ("Platform"), operated by Make It Happen LLC ("Company," "we," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform following any changes constitutes acceptance of those changes.

2. Description of Service

Make It Happen Leadership is a leadership development platform that provides online courses, coaching tools, self-assessment exercises, an AI-powered coaching assistant, and community features designed to help individuals grow as leaders, negotiators, and professionals. The Platform is created by Robert "Bob" Kistner, drawing on over 40 years of leadership and sales experience in the hospitality industry.

3. Account Registration

To access certain features of the Platform, you must create an account. When registering, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials and not share them with others
• Promptly update your information if it changes
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years of age to create an account and use the Platform.

4. Membership Tiers and Payments

The Platform offers multiple membership tiers:

• Free: Access to limited course previews and community features
• Course Access: One-time purchase granting lifetime access to a specific course and its materials
• Pro: Monthly or annual subscription providing full access to all courses, the AI coaching assistant, advanced analytics, and priority support

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). All payments are processed securely through our third-party payment processor. Prices are listed in US dollars and are subject to change with 30 days written notice.

5. Cancellation and Refunds

You may cancel your Pro subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access until that date. We do not offer prorated refunds for partial billing periods. For individual course purchases, we offer a 14-day refund policy from the date of purchase, provided you have not completed more than 25% of the course content.

6. Intellectual Property and Content Rights

All content on the Platform, including but not limited to courses, videos, text, graphics, frameworks, assessment tools, and the AI coaching assistant, is the intellectual property of Make It Happen Leadership LLC and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the content for your personal, non-commercial development purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Platform without our prior written consent.

7. AI Coaching Disclaimer

The AI coaching assistant provides guidance based on Bob Kistner's leadership philosophy and general best practices. It is not a substitute for professional advice, therapy, legal counsel, or certified executive coaching. The AI may occasionally produce inaccurate or incomplete responses. You acknowledge that you use the AI coaching feature at your own discretion and risk.

8. User Conduct

When using the Platform, you agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms
• Share, resell, or redistribute course content or account access
• Harass, intimidate, or abuse other users in community features
• Attempt to reverse-engineer, decompile, or extract the source code of the Platform or AI system
• Upload or transmit viruses, malware, or any harmful code
• Scrape, crawl, or otherwise automatically collect data from the Platform

9. Limitation of Liability

To the maximum extent permitted by law, Make It Happen LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Platform. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in Austin, Texas.
